Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Griot platform, website, APIs, and related services (collectively, the “Service”) provided by Griot Data Technologies Ltd (“Griot,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Griot provides an enterprise data contract platform that enables organizations to define, enforce, and monitor data quality standards across their data infrastructure. The Service includes the Griot Hub (web application), Python SDK, CLI tools, APIs, and related documentation.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Your Data

You retain all rights to the data you submit to the Service (“Your Data”), including data contracts, schemas, configurations, and metadata.

• You grant us a limited license to process Your Data solely to provide the Service
• We will not access, use, or disclose Your Data except as necessary to provide the Service, prevent fraud, or comply with law
• Your Data is logically isolated per tenant within our infrastructure
• Upon termination, you may export Your Data for a period of 30 days, after which it will be deleted

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for competitive analysis or to build a competing product
• Resell or sublicense the Service without our written consent
• Use automated means to scrape or extract data from the Service

6. Intellectual Property

The Service, including its design, features, documentation, and underlying technology, is owned by Griot and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features. The Griot name, logo, and all related marks are trademarks of Griot Data Technologies Ltd.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

8. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Indemnification

You agree to indemnify and hold harmless Griot, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

• You may terminate your account at any time by contacting us
• We may suspend or terminate your access if you violate these Terms
• Upon termination, your right to use the Service ceases immediately
• Sections relating to intellectual property, limitation of liability, and indemnification survive termination

13. Modifications to Terms

We may modify these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or in-platform notification at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of Kenya. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Nairobi, Kenya, except where prohibited by law.
